These Terms of Use (“Terms”) govern your access to and use of the Verdanth website at verdanth.ca (the “Site”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Who we are

The Site is operated by Verdanth (“Verdanth,” “we,” “us,” or “our”). These Terms apply to the Site only. Use of any Verdanth product or subscription service is governed by the separate agreement entered into between Verdanth and the client organization for that product.

2. Use of the Site

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for lawful, informational purposes. You agree not to:

• Use the Site in any way that violates applicable law or these Terms;
• Attempt to gain unauthorized access to the Site or its systems;
• Interfere with or disrupt the integrity or performance of the Site;
• Copy, scrape, or reproduce content from the Site except as permitted;
• Use the Site to transmit harmful code or unsolicited communications.

3. Products and services

Descriptions of products on the Site are for general information and do not constitute an offer or a binding commitment. Access to Verdanth products requires a separate written agreement and is subject to its terms.

4. Intellectual property

The Site and its content — including text, graphics, logos, the Verdanth name and marks, product names, and design — are owned by or licensed to Verdanth and are protected by intellectual property laws. You may not use our trademarks or content without our prior written permission.

The Site may contain links to third-party websites or services that we do not control. We are not responsible for the content, policies, or practices of any third party, and links do not imply endorsement.

6. Disclaimers

The Site is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

7. Limitation of liability

To the fullest extent permitted by law, Verdanth will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the Site, even if advised of the possibility of such damages.

We may update these Terms from time to time. Changes take effect when posted, and the “Last updated” date will be revised. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

9. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
